We are seeking a highly organized and proactive Legal Assistant / Executive Assistant to support our legal team and leadership. This role is ideal for someone who enjoys working in a fast-paced environment and takes pride in precision, responsiveness, and operational excellence.


Key Responsibilities


  • Provide legal administrative support across corporate/commercial matters
  • Manage calendars, deadlines, scheduling, and task coordination
  • Prepare, format, proofread, and finalize legal documents and correspondence
  • Maintain electronic and physical files, including transaction documents and closing materials
  • Assist with time entry, billing coordination, and basic accounts support
  • Coordinate client communications and logistics (meetings, document circulation, signatures)
  • Support firm leadership with executive-level administrative tasks and special projects
  • Ensure consistency, organization, and quality in all client-facing deliverables


Qualifications


  • 5+ years’ experience as a legal assistant (corporate/commercial preferred)
  • Strong document formatting skills and proficiency in MS Office
  • Excellent attention to detail and file management discipline
  • Strong communication and interpersonal skills
  • Professional judgment and discretion
  • Comfortable managing competing priorities with minimal supervision

Paralegal (5–10 Years Experience) — Corporate, Commercial & Securities (BC/ON)

We are looking for an experienced Paralegal (5–10 years) with strong corporate-commercial and securities experience in BC, capable of independently managing corporate records and supporting transactions.


Key Responsibilities


  • Corporate maintenance, minute books, resolutions, share issuances, reorganizations
  • Incorporations, continuations, amalgamations, dissolutions (BC)
  • Support financings, including private placements and corporate finance transactions  
  • Prepare corporate registry filings (BC Corporate Registry)
  • Assist with securities-related documentation and filings (including SEDAR+ where applicable)
  • Manage transaction checklists and closing deliverables
  • Liaise with clients, regulators, registries, accountants, and service providers
  • Maintain compliance tracking and corporate governance timelines


Qualifications


  • 5–10 years of corporate paralegal experience
  • Strong working knowledge of corporate registries and filings in BC
  • Experience supporting corporate finance and securities compliance
  • Highly organized, detail-oriented, and capable of managing multiple deadlines
  • Confident communicator with strong drafting and file management skills

Our lawyers act as trusted advisors, integrating legal strategy into business decision-making with clarity and purpose.  

We are seeking a 3–5 year call Associate to join our corporate practice in British Columbia.


Key Responsibilities


  • Draft, review, and negotiate commercial agreements (services, SaaS, licensing, distribution, strategic partnerships)
  • Support M&A transactions, including due diligence, structuring, and closing
  • Assist with venture and private financings, corporate finance, and shareholder matters  
  • Provide governance and corporate structuring support
  • Advise on securities compliance matters and related documentation
  • Work directly with clients and senior lawyers to deliver clear, business-minded advice


Qualifications


  • 3–5 years call in British Columbia
  • Demonstrated corporate-commercial and/or securities experience
  • Strong drafting, negotiation, and issue-spotting skills
  • Excellent client service instincts and responsiveness
  • Ability to manage files independently while collaborating within a lean team

We work with clients in life sciences, healthcare, and technology, helping them safeguard and leverage their most valuable intangible assets.  


We are hiring an IP Associate (3–5 year call) with experience in trademarks, licensing, and commercial IP matters.


Key Responsibilities


  • Trademark prosecution and portfolio management (filings, office actions, renewals)
  • Draft and negotiate licensing, technology agreements, IP assignments, and NDAs
  • Advise on IP strategy, commercialization, and brand protection
  • Support corporate transactions with IP due diligence and IP transfer documentation
  • Identify IP risk and develop practical mitigation strategies with business stakeholders


Qualifications


  • 3–5 years call with demonstrated IP experience
  • Strong drafting and client communication skills
  • Experience with CIPO filings and trademark prosecution preferred
  • Comfort working with technology and innovation-driven clients
  • Ability to manage files independently and collaborate closely with corporate counsel
